Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On February 22, 2017, James J. Burns, a member of the Board of Directors (the Board) of Cedar Realty Trust, Inc. (the Company), informed the Board that he will retire from the Board effective at the Companys 2017 Annual Meeting of Stockholders (the 2017 Annual Meeting) and will not stand for re-election to the Board at the Annual Meeting. Mr. Burns decision to retire and not stand for re-election to the Board was not the result of any dispute or disagreement with the Company on any matter relating to the Companys financial condition or financial reporting.
The Company deeply appreciates Mr. Burns significant contributions during his 16 years of service on the Board and related committees, including his long time service as chair of the Companys Audit Committee. The Company wishes Mr. Burns well in the future.
The Board expects to present a nominee to succeed Mr. Burns on the Board and relevant committees. The nominee will be included in the Companys forthcoming proxy statement, which will be mailed to stockholders in advance of the 2017 Annual Meeting.
